Terms and Conditions of Sale of Products

SHIPPING SCHEDULE / CANCELLATION
We will use our reasonable efforts to ship your order within 24 hours following our receipt of your order.

FREIGHT
All orders are subject to applicable shipping, freight, taxes and processing charges.  Shipping charges for ground service on all orders are determined by using a flat rate table that is based on combined weight of all items on the order.  The simple table approach gives RTC the ability to quote freight at the time of order.  Flat table charges are intended to approximate RTC's average cost to process and ship a package of similar weight characteristics.  In some cases shipping charges may be less than RTC's actual cost to process and ship; in other cases they may exceed.

WARRANTY
We will grant credit on any tool product which proves defective in material or workmanship as determined by us subject to the following conditions:
A) All material is subject to our inspection prior to issuing credit.
B) Any refund will be adjusted based on the amount of customer use.
C) No credit will be granted for any tool product over one year post shipment. The terms of this warranty do not in any way extend to any product or part thereof covered by this agreement which has a life, under normal usage, inherently shorter than the one-year period indicated above.

DISCLAIMER OF WARRANTIES
The warranty set forth in Paragraph 2 above is exclusive and in lieu of all other warranties, whether expressed or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose.

LIMITATION OF LIABILITY
Under no circumstances shall we have any liability whatsoever for loss of use or for any indirect consequential damages howsoever arising (whether in tort, strict liability, contract, negligence or other).

TITLE
Title to each product shall pass to buyer upon its being loaded on the carrier at our dock.

PRICES
Prices, availability, and specifications are subject to change without notice. Sales taxes, use taxes, or similar taxes, where imposed, will be added.

FREIGHT
Freight shall be prepaid and billed on invoice unless agreed to otherwise.

TERMS OF PAYMENT
Net 30 days Upon Approval of Credit.

ACCEPTANCE OF PRODUCT
Each such product shall be deemed to be accepted upon the earlier of: (i) seven days after delivery of the product to the carrier, unless we receive written notification of rejection for cause from Buyer within the seven-day period, or, (ii) the date the product is first used in production.

RISK OF LOSS
Possession and risk of loss of each product shall pass to Buyer upon delivery of such product to the carrier.

FORCE MAJEURE
We shall not be liable for any delay in performance or nonperformance which is due to war, fire, flood, acts of God, acts of third parties, acts of governmental authority or any agency or commission thereof, accident, breakdown of equipment, differences with employees or similar or dissimilar causes beyond our reasonable control, including but not limited to, those interfering with production, supply or transportation of products, raw materials or components or our ability to obtain, on terms we deem reasonable, material, labor, equipment or transportation.

ACCEPTANCE OF ORDERS
Buyer agrees that all orders, including any arising from our proposal, shall include these terms and conditions only, notwithstanding any different or additional terms that may be embodied in Buyer's order. All orders are subject to acceptance by us.

MERGER CLAUSE
This Agreement entirely supersedes any prior oral representations, correspondence, proposal, quotation, or agreement. This writing constitutes the final and total expression of such agreement between the parties, and it is a complete and exclusive statement of the terms of that agreement.

ASSIGNMENT
Neither party may assign this Agreement without the written consent of the other party, except that we may assign this Agreement to a third party that acquires substantially all of our assets or we may assign the flow of funds arising out of this Agreement.

GOVERNING LAW AND JURISDICTION
All transactions shall be governed by the laws of the State of California, USA, without regard to California's choice of law rules, and all litigation arising out of or related to your purchase must be conducted in that jurisdiction.

PRIVACY
Rotary Technologies takes very seriously the privacy of the Site users and the security of your personal information. It is Rotary Technologies' aim that you, if your personal information is processed by Rotary Technologies at all times shall feel confident that your privacy is respected and that due care is taken regarding your personal information. All information regarding your charge card is deleted after submitting your order.

Rotary Technology collects personal information such as first name, last name, e-mail address and country of residence and other information which is voluntarily submitted by the users of the Site. The personal information provided by you will be processed for the purpose of providing the information and services you request as well as for marketing, sales and product development purposes.

Rotary Technologies does not assume any responsibility for the privacy practices or the contents of external web sites to which the Site contain links.

Rotary Technologies may at any time revise the terms of this Privacy Policy by updating it.
